Senior Associate, Contracts & Investment Lawyer

About the role

JJ Associates is expanding its investment and financial‑services team in Panama City. The Senior Associate will work directly with firm leadership, handling complex investment and banking contracts and supporting the administration of private investment funds and foundations.

Key responsibilities

• Draft, negotiate and finalize investment and banking agreements, including subscription, shareholder, joint‑venture, mandate, term‑sheet and escrow documents.
• Prepare constitutive documents and investor paperwork for Panama private investment funds (Sociedades de Inversión Privada) and Private Interest Foundations.
• Coordinate cross‑border legal workstreams with counsel in Mexico, Colombia, Brazil, Chile, the USA and other jurisdictions.
• Manage onboarding documentation for banks and financial institutions on behalf of client entities.
• Maintain and update the firm’s contract templates and drafting playbook.

Required profile

• Law degree with admission to practice; Panamanian idoneidad strongly preferred.
• Minimum 5 years of transactional or financial law experience, at least 3 years serving investment firms, asset managers or banks.
• Proven track record of drafting and closing investment documents independently.
• Direct experience with Panama funds (PIF‑20, PIF‑50) and foundation structures.
• Fluent in both Spanish and English.
