Legal Counsel – Transactions & Investments

About the role

Our client in Panama is looking for an experienced Legal Counsel to lead transactions and investment matters. The role involves drafting, negotiating and managing a wide range of commercial and financing agreements while advising internal stakeholders on legal and regulatory risks.

Key responsibilities

• Draft, review, revise and negotiate commercial, corporate, investment, financing and transactional agreements.
• Support investment and financial transactions from documentation and negotiation through execution and closing.
• Prepare and review investment agreements, shareholder agreements, subscription agreements, financing documents and fund documentation.
• Identify legal, regulatory and commercial risks and provide practical recommendations.
• Lead negotiations with investors, financial institutions, counterparties, clients and external counsel.

Required profile

• 5–7 years of experience in corporate, transactional, banking, finance or investment law.
• Proven ability to independently draft, review and negotiate commercial and transactional agreements.
• Experience with investment agreements, financing documentation, shareholder and subscription agreements, and fund documentation.
• Law degree and authorization to practice in Panama or a relevant jurisdiction.
• Fluent English with strong analytical, negotiation and problem‑solving skills.
