Legal Counsel – Commercial & Financial Contracts

About the role

We are looking for an experienced Legal Counsel to join our team in Panama on a permanent, full‑time basis. The role focuses on drafting, reviewing, and negotiating commercial and financial contracts while supporting our English‑speaking clients and investment activities.

Key responsibilities

• Draft, review, and negotiate commercial and financial agreements, including loan, shareholder, and investment documents.
• Provide ongoing legal support for contractual matters related to financial transactions, investments, and corporate activities.
• Identify legal and commercial risks in agreements and propose practical recommendations.
• Work directly with English‑speaking clients and stakeholders on contract‑related issues.
• Support negotiations with counterparties to ensure agreements reflect agreed commercial terms.
• Collaborate with internal teams and external legal and business partners.
• Maintain accurate, high‑quality legal documentation while ensuring confidentiality.

Required profile

• Proven experience as a Legal Counsel, Corporate Lawyer, Contracts Lawyer, or similar role.
• Strong background drafting, reviewing, and negotiating commercial and financial agreements.
• Experience with loan agreements, shareholder agreements, investment documents, and corporate contracts.
• Background in banking, financial institutions, investment funds, or a similar financial environment.
• Fluent English with professional communication skills.
• Availability to work onsite in Panama on a permanent, full‑time basis.
