About the role

The position is responsible for overseeing corporate governance and institutional affairs, ensuring that all governance bodies operate in compliance with group policies and best practices. The role combines secretarial duties with regulatory management for offshore and Panama‑based operations.

Key responsibilities

• Coordinate sessions of governance bodies, managing agendas, convocations, documentation, decision follow‑up and information custody.
• Perform General Secretariat functions, ensuring proper composition, frequency and scope of governance instances and managing corporate records such as statutes, powers and social pacts.
• Define and update corporate governance policies, regulations and practices to strengthen transparency, accountability and decision‑making.
• Manage licenses, permits, authorizations and registrations required for business development and corporate operations, including banking, fiduciary, securities and investment manager licences, as well as merger and acquisition authorizations.
• Define and monitor indicators, controls and reports on corporate governance, secretarial activities and regulatory management to measure compliance and anticipate risks.
• Monitor regulatory changes, assess impact, define institutional positions and coordinate implementation plans.

Required profile

• Law degree with experience in corporate governance and institutional affairs.
• Strong knowledge of regulatory requirements for offshore and Panama‑based financial entities.
• Ability to coordinate multi‑disciplinary teams and manage complex documentation.
• Excellent analytical skills to monitor regulatory developments and assess their impact.
