Legal Counsel – Corporate & Transactional (Panama)

About the role

Our client is seeking an experienced Corporate/Transactional Lawyer to independently manage commercial contracts and investment-related documentation in Panama. The role supports corporate and investment activities, ensuring transactions are well‑structured and legally protected.

Key responsibilities

• Draft, review, revise and negotiate a wide range of commercial agreements and transactional documents.
• Prepare and review legal documentation for corporate and investment transactions, including shareholder, investment, financing and subscription agreements.
• Identify legal and commercial risks in agreements and provide practical recommendations.
• Participate in negotiations with clients, investors, counterparties, financial institutions and external counsel.
• Manage contractual matters from initial drafting through execution and closing.
• Provide legal guidance to internal and external stakeholders while maintaining high‑quality documentation.

Required profile

• 5–7 years of experience as a Corporate or Transactional Lawyer, Legal Counsel or similar role.
• Proven ability to work independently on complex contractual matters with limited supervision.
• Fluent English with strong written and verbal communication skills.
• Strong judgment, attention to detail and ownership of matters from start to finish.
